SupplyHall Platform Service Agreement


**Important Notice** Welcome to the SupplyHall platform!


This agreement applies to users worldwide, especially those involved in cross-border transactions, international payments (such as Stripe, PayPal), and data compliance (such as GDPR). Please pay close attention to the disclaimers, limitations of liability, payment risk control, and data compliance clauses.


【Important Notice】 By registering, logging in, or using the SupplyHall platform, you agree to all the contents of this agreement. If you do not agree, please stop using the platform immediately.


I. Definitions


SupplyHall Platform: Refers to the cross-border e-commerce system provided by the operator, including the website, API, SaaS system, and related services.


User: Refers to individuals or enterprises that register and use the platform, including buyers, sellers, distributors, etc.


Third-Party Service Providers: Including but not limited to payment institutions (Stripe, PayPal), logistics companies, cloud service providers, etc.


II. Scope of Agreement and Applicable Law


1. This agreement applies to users worldwide. The specific applicable law is determined based on the user's location and the nature of the transaction.


2. For users in the European Union, the General Data Protection Regulation (GDPR) applies. 3. If US users are involved, applicable consumer protection and payment regulations apply.


III. Account and Compliance Requirements

3.1 User Qualifications

You represent and warrant that:


• You have legal capacity to act


• You are not on any sanctions list (e.g., OFAC, EU Sanctions)


• You are not involved in money laundering, terrorist financing, or other illegal activities.


3.2 KYC and Risk Control

The platform has the right to:


• Require identity verification (KYC)


• Review transaction behavior


• Restrict or freeze abnormal accounts


IV. Payment and Fund Security (Key Points)


4.1 Payment Channels

The platform supports third-party payments, including but not limited to:


• Stripe


• PayPal


• Credit card payments


4.2 Risk Control and Freezing Mechanisms (Key Clauses)

The platform or payment institution has the right to freeze funds or restrict transactions in the following circumstances:


• High-risk transactions (abnormal amounts, abnormal regions)


• Chargeback


• Suspected fraud or money laundering


• Large-scale refunds or complaints

Users agree that:


👉 The platform has the right to cooperate with payment institutions in investigations and to delay settlement or freeze funds.


4.3 Chargeback Liability

In the event of a credit card chargeback:


• The user shall bear all losses.


• This includes handling fees, penalties, and platform losses.


V. Orders and Logistics


1. All order information is subject to user submission.


2. Cross-border logistics may experience delays (customs, policies, etc.).


3. The platform is not liable for the following situations: customs duties, war, or force majeure.


VI. Intellectual Property and Content


1. Users shall not upload infringing products (counterfeit goods, pirated goods, etc.).


2. The platform has the right to delete infringing content and ban accounts.


3. Users authorize the platform to use their content globally for display and promotion.


VII. User Conduct Guidelines (Enhanced Version)


The following behaviors are prohibited:


• Fraudulent transactions / Money laundering


• Sale of prohibited goods (weapons, drugs, etc.)


• Infringement of intellectual property rights


• Malicious refunds / Arbitrage


• Abuse of advertising or traffic


Consequences of violations include:

VIII. Data Protection and Privacy (GDPR)


8.1 Data Collection


The platform may collect the following information:


• Identity information

• Payment information

• Transaction data

• Device information


8.2 User Rights (EU Users)


You have the following rights:


• Right to access your data


• Right to erasure


• Right to data portability


8.3 Cross-border Data Transfer

Users agree that their data may be transferred to different countries for processing.


IX. Disclaimer (Enhanced Version)


To the extent permitted by law, the platform shall not be liable for the following:


1. Product quality issues (borne by the seller)


2. Third-party service issues (payment, logistics)


3. Indirect losses (loss of profits, loss of data, etc.)


4. Force majeure


👉 The platform's maximum liability for compensation shall not exceed the service fees paid by the user.


X. Limitation of Liability (Core Terms)


1. The platform is a technical service provider and does not participate in actual transactions.


2. The platform is not responsible for the results of transactions between users.


3. The platform does not guarantee uninterrupted or error-free service.


XI. Breach of Contract and Penalties

The platform may take the following actions against users who violate the agreement:


• Deletion of content


• Account restriction


• Fund freezing


• Permanent ban

Serious cases:


👉 Reporting to regulatory agencies or law enforcement agencies


XII. Agreement Modification

The platform has the right to modify this agreement at any time and will notify users through the following methods:


• Website announcement


• Email notification

Continue use constitutes acceptance of the new agreement.


XIII. Termination of Agreement


1. Users may stop using the platform at any time.


2. The platform may terminate the service due to violations.


3. The platform reserves the right to pursue legal action after termination.


XIV. Dispute Resolution (International Version)


1. Resolution through negotiation is preferred.


2. If negotiation fails: the dispute may be submitted to an arbitration institution or a lawsuit may be filed in the court where the platform is located.


XV. Other Terms


1. The invalidity of certain clauses in this agreement does not affect the overall validity of the agreement.


2. SupplyHall reserves the right to the final interpretation of this agreement.
